Senior Legal Counsel

SUMMARY:  
ContourGlobal is a developer and operator of electric power generation facilities. The Company owns and operates a portfolio of 62 power plants in both thermal and renewable technologies, with approximately 4,000 MW of installed gross capacity in operation. The projects are located in 20 countries on 3 continents, utilizing a wide range of fuel types, technology and equipment. 1,800 people work for ContourGlobal around the globe.
In Bulgaria the company operates and is a majority shareholder of the second largest thermal power plant in the country - ContourGlobal Maritsa East 3 TPP, a 908 MW Lignite fired power plant located in Mednikarovo, Stara Zagora region. In the years 2004-2009 the Power Plant underwent a Eur 650 million refurbishment which made it the modern and environmentally compliant plant in the whole of SE Europe.
As part of the wider ContourGlobal family, in ContourGlobal Maritsa East 3 we are committed to protecting the environment, working closely with local stakeholders, investing in our communities, and maintaining compliance with the highest regulations and standards.
To foster and live our commitments, we are currently seeking a high-professional SENIOR LEGAL COUNSEL to provide legal counsel on corporate and project matters relating to ContourGlobal Maritsa East 3 Company and the Maritsa East 3 Power Project and to oversee the legal counsel provided to the Company’s operator - ContourGlobal Operations Bulgaria AD. The position reports directly to the CEO of CG Maritsa East 3 and to the General Counsel of Thermal Division – functionally.


MAIN RESPONSIBILITIES OF THE POSITION WILL INCLUDE:

I.    Decision making authority

•    Advising the Company and the Operator on the legal ramifications of all aspects of their business management and decisions, and assisting with making and implementing such decisions;
•    Advising the Company and the Operator of any legal considerations affecting their businesses and strategies;
•    Signing off on the Company’s compliance with all applicable law and regulations, and compliance with the terms of the financing and Project agreements;
•    Create associations of trust and respect with key stakeholders;
•    Deal with external parties (regulators, external counsel, politicians, clients);
•    Drafting and negotiation of contracts / agreements;
•    Management and settlement or prosecution of disputes;
•    Selection and management of external law firms;
•    Provide expert and strategic legal advice to management;
•    Anticipate issues and estimate risks strategically.

II.    Provide legal counsel services to the Project, the Company and the Operator

•    General advice and compliance monitoring requires a proactive approach in raising potential issues and providing appropriate guidance and direction, both practical and strategic;
•    Involvement in the day to day affairs and decision making of the Company and Project is necessary to ensure guidance is given at an appropriate stage; monitoring of the Operator to ensure appropriate advice and assistance is given even if not requested;
•    Involvement in the administration of the EPC Contract to ensure problems do not come as a surprise and are dealt with quickly and appropriately;
•    Draft and negotiate contracts and agreements that are compliant with applicable laws and company objectives;
•    Participate at Director/Manager level in the management of the Company;
•    Select and manage outside law firms within budgetary constraints to ensure quality services and deliverables;
•    Manage expenses both internal and external related to the provision of legal services to the Company and the Operator;
•    Satisfy “clients” by providing quality, timely, cost effective legal services;
•    Manage any disputes arising;
•    Provide legal counsel relating to diverse commercial issues, including (for example) property, IT, employment, regulatory lobbying etc. to support Sofia office, the ContourGlobal Maritza East 3 Power Plant, the Company and the Operator.

III.    Monitor and ensure the Company, the Operator and Project comply with applicable law and the terms of the financing and Project documents

•    Achieve total familiarity with the Project and financing documentation;
•    Maintain close level of day to day involvement with the Project and the companies to ensure:

-    compliant decisions and actions are taken
-    long term strategy and short term decisions do not threaten compliance
-    any non-compliance is appropriately and swiftly addressed and/or reported
•    Influence decisions and development of strategy to ensure continuing compliance;
•    Manage the regulatory process within Bulgaria to ensure all relevant regulatory aspects are understood and managed to the benefit of our operations;
•    Develop a thorough understanding of all regulatory processes effecting our business;
•    Build relationships with relevant regulatory authorities in Bulgaria and the ContourGlobal regulatory department in the USA to ensure we are fully aware of all relevant present and future requirements;
•    Work with the Bulgarian management team to adopt relevant regulatory strategies.

IV.    Leading legal matters of international transactions

•    Manage the legal part of international transactions such as M&A;transactions or project financing:

-    Provide legal counsel on the legal structure of the transaction
-    Negotiations with the business team of the transaction
-    Liaise with and manage external local and international law firms
-    Review the documents of the transaction


DESIRED SKILLS AND EXPERTISE OF THE SUCCESSFUL CANDIDATE:

Knowledge and skills
•    Excellent knowledge of contracts and corporate law;
•    Experience in and very good knowledge of Bulgarian Law;
•    Knowledge of the Energy Sector law, and regulations related to the Electricity system in Bulgaria is advantage;
•    Basic familiarity with the technical aspects of the power generation business;
•    Experience of the development and/or implementation of project financed projects within the independent power producers sector;
•    Experience of advising an operating power plant business, commodity trading and finance, preferably within independent power sectors;
•    Diverse legal knowledge including corporate, construction, commercial, finance, environmental, procurement, regulatory and projects law;
•    Previous exposure to international transactions and multi-national companies;
•    Well-developed project and personnel management capabilities will be required;
•    A motivated self-starter who can work with little direct supervision and is able of working in a dynamic and fast paced environment in consideration of time sensitive deadlines;
•    Result-oriented person who is able to maintain a positive attitude and thrive in a team environment;
•    High degree of professional ethics and integrity.


Formal Qualification
•    Master’s Degree in Law
•    Proficiency in Bulgarian and English

Experience
Minimum 8 years of proven general counseling experience in business environment gained in relevant industry or private practice. International experience or within an international group is required.


OTHER:

Travel Requirements:  approximately 30% of the working time - in country and abroad
